1. Acceptance of Terms

Welcome to NowRise. These Terms of Service ("Terms") govern your access to and use of the NowRise mobile application ("App"), website, and all related services (collectively, the "Service") provided by NowRise ("we," "us," or "our"). By downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization (such as a school, team, or club), you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

You must be at least 13 years of age to use the Service. If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We reserve the right to terminate accounts of users who are found to be under the minimum age requirement.

2. Description of Service

NowRise is a mental performance training application designed for athletes of all levels. The Service provides tools and audio content to help athletes strengthen their mental game, build confidence, and develop consistent pre-performance routines. The Service includes, but is not limited to, the following features:

  • Guided visualization sessions delivered as streaming audio
  • Breathing exercises and techniques delivered as streaming audio
  • Pre-game and post-game mental performance routines
  • Daily affirmations that users can customize and create
  • A reflection journal for personal notes and self-assessment
  • Streak tracking and activity rings to monitor training consistency
  • Level progression system (Mental Training Performance points)
  • Push notification reminders for training sessions

Audio content is streamed through the App and may be cached on your device for subsequent playback. The availability, features, and content of the Service may change over time at our sole discretion. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you.

3. User Accounts

3.1 Registration

To access certain features of the Service, you may be required to create an account. You can register using your email address via passwordless authentication (magic link) or through Sign in with Apple. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.

3.2 Account Security

You are solely responsible for maintaining the security of your account and login methods. You agree to notify us immediately at support@nowrise.app if you become aware of any unauthorized access to or use of your account. You are responsible for all activities that occur under your account, whether or not you authorized such activities.

3.3 One Account Per Person

Each individual may maintain only one account. You may not create multiple accounts for the purpose of circumventing restrictions, abusing promotional offers, or any other reason. We reserve the right to suspend or terminate duplicate accounts without prior notice.

4. Subscriptions and Payments

4.1 Current Pricing

The Service is currently available free of charge. We reserve the right to introduce paid features, subscription plans, or in-app purchases in the future. If we introduce paid features, we will provide advance notice within the App or via email, and your continued use of paid features will be subject to the applicable pricing terms at that time.

4.2 Apple App Store

If paid features are introduced, all payments will be processed through Apple's App Store. You agree that Apple's terms and conditions govern any purchase transactions. We are not responsible for any issues related to payment processing handled by Apple, including billing errors, refund requests, or payment disputes. For refund requests, please contact Apple directly through their App Store support channels.

4.3 Future Subscription Terms

If subscription plans are introduced, subscriptions will automatically renew unless canceled at least 24 hours before the end of the current billing period. You can manage and cancel subscriptions through your Apple ID account settings. Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for your personal, non-commercial use only. You agree not to:

  • Copy, reproduce, distribute, transmit, display, sell, license, or otherwise exploit any audio content, images, text, or other materials available through the Service for any commercial purpose without our prior written consent
  • Record, download, rip, or capture any audio sessions or content streamed through the Service
  • Redistribute, re-publish, or share NowRise content with individuals who do not have their own authorized accounts
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the App or any part of the Service
  • Use any automated means, including bots, scrapers, crawlers, or other automated tools, to access, collect data from, or interact with the Service
  • Circumvent, disable, or otherwise interfere with any security-related features of the Service, including features that prevent or restrict use or copying of content
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
  • Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks
  • Interfere with or disrupt the Service or the servers or networks connected to the Service
  • Upload or transmit viruses, malware, or other harmful code through the Service

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this section, including without limitation removing content, suspending or terminating the violator's account, and reporting such activity to law enforcement authorities.

6. Intellectual Property

6.1 Our Content

All content available through the Service, including but not limited to audio sessions, guided visualizations, breathing exercises, routine structures, images, graphics, logos, icons, text, user interface design, and the overall look and feel of the App (collectively, "NowRise Content"), is owned by NowRise or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and NowRise Content solely for your personal, non-commercial use. This license does not include the right to modify, reproduce, distribute, create derivative works from, publicly display, publicly perform, republish, download (other than page caching), store, or transmit any NowRise Content, except as expressly permitted by these Terms or with our prior written consent.

6.3 Trademarks

The NowRise name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of NowRise or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans are the trademarks of their respective owners.

6.4 Your Content

You retain full ownership of any content you create within the Service, including custom affirmations and journal entries. We do not claim any ownership rights over your personal content. See Section 7 for more details on user-generated content.

7. User-Generated Content

The Service allows you to create and store personal content, including custom affirmations, reflection journal entries, routines, and progress data ("User Content"). This User Content is created by you and stored on your device. If you have iCloud enabled, User Content may sync across your Apple devices via iCloud (CloudKit), which is governed by Apple's terms and privacy policy. NowRise does not access, read, collect, transmit, or store your User Content on our servers.

You are solely responsible for your User Content and for ensuring that it does not violate any applicable laws. Because User Content is stored locally on your device, you are responsible for backing up your own data. NowRise is not responsible for any loss of User Content resulting from device failure, App deletion, operating system updates, or any other cause.

NowRise does not claim any ownership rights in your User Content. You retain all rights, title, and interest in and to your User Content as between you and NowRise.

8. Health and Wellness Disclaimer

NowRise is not a medical device and does not provide medical advice, diagnosis, or treatment. The Service is designed solely for general mental performance training and is intended to complement, not replace, professional guidance.

The audio sessions, breathing exercises, visualizations, routines, affirmations, and other content provided through the Service are for informational and educational purposes only. They are not intended to serve as a substitute for professional medical advice, psychological counseling, psychiatric treatment, or any other form of professional mental health services.

You should consult a qualified healthcare provider before beginning any mental performance training program, particularly if you have or suspect you may have a medical or psychological condition. If you are experiencing a mental health crisis, please contact a licensed mental health professional, call your local emergency services, or reach out to the 988 Suicide and Crisis Lifeline (call or text 988 in the United States).

By using the Service, you acknowledge and agree that: (a) NowRise is not a licensed healthcare provider; (b) the content provided through the Service does not constitute professional advice; (c) you assume full responsibility for how you use the content and any results or outcomes that may follow; and (d) we expressly disclaim any liability for any adverse effects, injury, or harm arising from your use of the Service.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOWRISE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, NowRise does not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the results that may be obtained from the use of the Service will be accurate, reliable, or meet your expectations; (c) any errors in the Service will be corrected; or (d) the Service or the servers that make it available are free of viruses or other harmful components.

Audio content is streamed over the internet, and playback quality may be affected by your device capabilities, internet connection speed, network congestion, and other factors beyond our control. We do not guarantee uninterrupted or error-free streaming of audio content.

Any material downloaded or otherwise obtained through the use of the Service is accessed at your own discretion and risk, and you will be solely responsible for any damage to your device or loss of data that results from the download or use of any such material.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOWRISE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT NOWRISE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF NOWRISE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS, FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO NOWRISE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

The limitations of liability set forth above are fundamental elements of the basis of the agreement between NowRise and you. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above limitations and exclusions may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

11. Termination

11.1 Termination by NowRise

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, at our sole discretion. Reasons for termination may include, but are not limited to: (a) violations of these Terms or any applicable law; (b) requests by law enforcement or other government agencies; (c) a request by you (self-initiated account deletion); (d) unexpected technical or security issues; or (e) extended periods of inactivity.

11.2 Termination by You

You may delete your account at any time through the App's account settings or by contacting us at support@nowrise.app. Upon account deletion, your account information will be removed in accordance with our Privacy Policy. Please note that User Content stored locally on your device will not be affected by account deletion, but any cloud-synced data associated with your account will be permanently deleted.

11.3 Effect of Termination

Upon termination of your account, your right to access and use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and governing law.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will notify you by posting the updated Terms within the App and updating the "Last updated" date at the top of this page. For significant changes, we may also provide additional notice, such as an in-app notification or an email to the address associated with your account.

Your continued use of the Service after the effective date of any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account. It is your responsibility to review these Terms periodically for any changes.

13. Governing Law

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Washington, United States of America, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Washington, in each case located in King County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
